End User License Agreement

Effective Date: December 23, 2024

Welcome to STREAMLINE. This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Streamline Foundation Inc. ("Streamline," "we," "us," or "our") governing your use of the Streamline platform, including our web application, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, please do not use the Service.

1. License Grant

Subject to your compliance with this Agreement, Streamline grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

This license includes the right to:

  • Stream music content available through the Service
  • Purchase and download digital music files from participating artists
  • Use the WAVE web application and progressive web app (PWA)
  • Connect your personal music library via the SOUND server software (when available)
  • Create playlists and organize your music collection

2. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information as necessary
  • Keep your account credentials secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 13 years of age to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

3. User Content & Purchases

Digital Purchases: When you purchase digital music through the Service, you acquire a perpetual license to download and stream that content. Purchases are final and non-refundable except where required by applicable law or at our sole discretion.

Personal Music Library: The SOUND server software allows you to stream your own personal music collection. You represent and warrant that you own or have the legal right to access and stream any content you add to your personal library.

User-Generated Content: You retain ownership of any content you create (such as playlists, posts, or comments). By posting content, you grant Streamline a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

4. Privacy & Data Protection

Your privacy is important to us. Our data practices are designed with privacy as a core principle:

  • SOUND Server Privacy: When using SOUND, your personal music library data remains entirely on your own hardware. Streamline has zero access to your SOUND database, music files, or listening history from your personal library.
  • Account Data: We collect only the information necessary to provide the Service, including your email address, display name, and purchase history.
  • Authentication: We use industry-standard authentication protocols (OAuth 2.0 via Supabase) to protect your account.
  • Payment Processing: Payments are processed securely through Stripe. We do not store your complete payment card information on our servers.
  • Cookies & Analytics: We use essential cookies for authentication and may use analytics to improve the Service. We do not sell your personal data to third parties.

5. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Infringe upon the intellectual property rights of Streamline, artists, or third parties
  • Distribute, publicly perform, or create derivative works from content without authorization
  • Attempt to circumvent any technological protection measures
  • Use automated systems, bots, or scrapers to access the Service
  • Interfere with or disrupt the Service or servers
  • Impersonate any person or entity
  • Upload malicious code or content
  • Resell, sublicense, or commercially exploit the Service without authorization

6. Intellectual Property

The Service, including its design, features, and content (excluding user content and third-party music), is owned by Streamline and protected by copyright, trademark, and other intellectual property laws.

STREAMLINE, WAVE, SOUND, and FLOW are trademarks of Streamline Foundation Inc.

Music content available through the Service is owned by or licensed from the respective artists, labels, and rights holders. Your purchase of digital music grants you a license to use that content as described in this Agreement, not ownership of the underlying copyright.

7. Third-Party Services

The Service integrates with third-party services to provide functionality:

  • Supabase: Database and authentication services
  • Stripe: Payment processing for purchases
  • Cloudflare: Content delivery and tunnel services for SOUND remote access
  • Vercel: Application hosting and deployment
  • Resend: Transactional email services

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

8. Service Availability & Modifications

We strive to provide reliable access to the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will make reasonable efforts to notify users of significant changes that may affect their use of the Service.

Purchased Content: If we discontinue the Service, we will make reasonable efforts to allow you to download any digital music you have purchased.

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature when available.

We may suspend or terminate your account and access to the Service if you violate this Agreement, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice where practicable.

Upon termination, your license to use the Service ends, but you retain the right to access any digital music you have legitimately purchased, subject to applicable terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or uninterrupted, or that any defects will be corrected. Your use of the Service is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREAMLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or relating to this Agreement or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months prior to the claim, or (b) one hundred dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Streamline, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of this Agreement, or your violation of any rights of another party.

13. Governing Law & Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from this Agreement or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to This Agreement

We may update this Agreement from time to time. We will notify you of material changes by posting the updated Agreement on the Service and updating the "Effective Date" above. Your continued use of the Service after such changes constitutes your acceptance of the revised Agreement.

Acknowledgment

By using the Service, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. If you do not agree to this Agreement, you must not access or use the Service.
